Terms of Use

Terms governing your use of WQR.

These Terms of Use (“Terms”) govern your use of the WQR password manager app (the “App”). By downloading, installing, accessing, or using the App, you agree to these Terms.

If you do not agree, do not use the App.

Important notice (consumer rights)

Nothing in these Terms limits rights that cannot be waived under the mandatory laws of your country (for example, EU consumer protection rules). Where local law provides you with stronger rights, those rights prevail.

2. What the App is (and is not)

The App helps you store and manage secrets and related QR/WQR codes.

The App does not provide legal, financial, or security guarantees and does not replace basic security hygiene (device lock, OS updates, safe backups, phishing awareness).

3. License to use the App

We grant you a personal, worldwide, revocable, non-exclusive, non-transferable license to install and use the App for your own lawful purposes, subject to these Terms.

You may not: • copy, modify, or create derivative works of the App except where permitted by law; • reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law; • remove proprietary notices; • resell, sublicense, rent, or host the App as a service without our written permission.

4. Your responsibilities

You are responsible for: • keeping your device secure (PIN/biometric lock, malware protection, OS updates); • keeping your master password / unlock method safe; • making backups where appropriate.

If your design does not include server-side recovery, then if you forget your master password, we cannot recover your secrets.

5. Local-first storage & network processing (ciphertext only)

Your secrets (including passwords) are intended to be stored locally on your device.

Network processing for QR encode/decode

Some App features use internet connectivity to perform QR/WQR encoding/decoding and related processing. The App sends only already-encrypted data (“ciphertext”), or QR images/matrices that contain ciphertext. The App does not send your plaintext passwords, your master password, or your decryption keys.

The server performs QR-related work (e.g., building a QR matrix from ciphertext or extracting ciphertext from a QR image/matrix). Ciphertext is processed transiently only for the time required to produce the result, and is not stored after processing.

6. Acceptable use

You agree not to misuse the App or help others do so. In particular, you will not: • use the App for unlawful activities; • attempt to disrupt or compromise our infrastructure (e.g., attacks, probing, abuse); • upload or transmit malware or harmful content to any service endpoint; • violate the rights of others (privacy, IP, confidentiality).

7. Third-party services and app stores

If you download the App from an app store (e.g., Apple App Store, Google Play), your use may also be subject to that store’s terms. Store providers may process data under their own policies.

The App may include or rely on third-party components (e.g., open-source libraries). Where required, additional notices or licenses apply.

8. Updates and changes to the App

We may provide updates to improve security, compatibility, or features. Some updates may be required for continued operation. You are responsible for installing updates unless your platform updates automatically.

We may change, suspend, or discontinue parts of the App where reasonably necessary (e.g., security, maintenance, legal, or technical reasons).

9. Fees (if applicable)

If you offer paid features, subscriptions, or in-app purchases, add your commercial terms here (prices, billing period, renewal, cancellation, refunds, and taxes). If payments are processed through an app store or payment provider, their terms and refund rules may apply.

10. Consumer information (EU/EEA/UK and similar regimes)

If you are a consumer in the EU/EEA, rules for digital content and digital services may apply, including conformity requirements and remedies for lack of conformity (e.g., bringing the digital content/service into conformity, price reduction, termination), subject to the conditions of the applicable law.

These Terms do not exclude or limit your statutory consumer rights.

11. Warranty disclaimer

To the maximum extent permitted by applicable law, the App is provided “as is” and “as available”. We do not warrant uninterrupted operation or that the App will meet all requirements.

Some jurisdictions do not allow certain warranty disclaimers; in such cases, disclaimers apply only to the extent permitted.

12. Limitation of liability (important)

A) Germany / EU-style mandatory carve-outs

Where German law applies, liability cannot be excluded or limited for intent, gross negligence, injury to life/body/health, liability under the Product Liability Act, or where we have assumed a guarantee. For slightly negligent breaches of essential contractual obligations (“Kardinalpflichten”), liability is typically limited to foreseeable damage typical for the contract.

B) Other jurisdictions

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business interruption. Our aggregate liability for claims relating to the App is limited to the amount you paid to use the App in the 12 months before the event giving rise to the claim (or EUR 0 if the App is free), unless mandatory law requires otherwise.

13. Indemnity

If you use the App unlawfully or in breach of these Terms and that causes third-party claims against us, you agree to indemnify and hold us harmless to the extent permitted by law.

14. Export controls and sanctions

You agree to comply with applicable export control and sanctions laws and regulations (including U.S. OFAC sanctions and other relevant regimes) when accessing or using the App.

We may restrict availability in certain regions or to certain persons/entities where required by law.

15. Termination

You may stop using the App at any time by uninstalling it.

We may suspend or terminate access to network-based features if you materially breach these Terms or if required for security, legal, or operational reasons.

16. Governing law and jurisdiction

If you are a consumer, the law of your habitual residence may grant you mandatory protections.

Otherwise, these Terms are governed by the laws of the Federal Republic of Germany, excluding conflict of laws rules. The exclusive place of jurisdiction (Gerichtsstand) is Krefeld, Germany, unless mandatory consumer law provides otherwise.

17. Dispute resolution / ADR (EU)

If you are a consumer in the EU, you may be able to use alternative dispute resolution (ADR) bodies to resolve disputes. Note: the EU Online Dispute Resolution (ODR) platform has been discontinued.

18. Changes to these Terms

We may update these Terms to reflect changes in the App, law, or our business. We will update the “Last updated” date and may provide in-app notice where appropriate. If you continue using the App after the effective date, you accept the updated Terms.
